LIMITED WARRANTY
(EQUIPMENT DELIVERED IN THE UNITED STATES)

The equipment sold by Denton Vacuum herein is warranted to be free of defects in materials and/or workmanship for one year from the date of delivery to the Purchaser. The liability of Denton Vacuum hereunder is limited to the repair or replacement, at the discretion of Denton Vacuum, of any defective materials or workmanship appearing during the one-year warranty period. Cost of shipping is excluded from this liability. Denton Vacuum shall not be liable for repairs or replacements made by or on behalf of Purchaser by others, unless there is prior written authorization by Denton Vacuum. The warranty period begins upon delivery of equipment; no services will be provided until the equipment is fully paid.

There are no warranties extended whatsoever to any consumable items, including but not limited to bell jars, pump oils, viewports, O-rings, gauge tubes and the like. Any item free-issued by Purchaser for integration in Denton product will be excluded from warranty. All warranties shall be invalid unless the equipment is shipped in an air-ride electronics van (or other approved carrier) or in the event of improper use and operation by Purchaser. Any subsystem vendor warranties extended beyond the one year warranty period shall be assigned by Denton Vacuum to Purchaser and Denton Vacuum will cooperate with Purchaser in securing the performance of any extended vendor warranty on subsystems.

In no event shall Denton Vacuum be liable for special, indirect, incidental or consequential damages such as, but not limited to the manufacture, use, delivery (including late delivery), or transportation of any equipment, part or component sold to the Purchaser. Without limiting the generality of the foregoing sentence, Denton Vacuum shall not be liable for the cost of capital, cost of substitute apparatus, loss of profit or revenue, the cost of power whether purchased or produced by the consumer thereof, loss, abuse of the equipment or any part thereof or loss or damage to any other property owned by Purchaser. Purchaser shall full indemnify and hold harmless Denton Vacuum from loss or damage arising from claims or causes of action brought by Purchaser's customers except for patent infringement. In addition, Denton Vacuum shall not be liable for any losses or damages from any cause and arising from materials processed in the equipment sold hereunder.

In the event that any limited warranty or disclaimer of liability is found to be unlawful, inapplicable, or to have failed of its essential purpose, Denton Vacuum's liability shall be limited to the amount paid by Purchaser for the equipment.

THE WARRANTY PROVIDED IN THIS SECTION AND THE OBLIGATIONS AND LIABILITIES OF DENTON VACUUM THEREUNDER ARE EXCLUSIVE, AND IN LIEU OF, AND PURCHASER HEREBY WAIVES ALL OTHER REMEDIES, WARRANTIES, GUARANTEES OR LIABILITIES EXPRESS OR IMPLIED, ARISING BY LAW OR OTHERWISE (INCLUDING WITHOUT LIMITATION ANY OBLIGATIONS OF DENTON VACUUM WITH RESPECT TO FITNESS MERCHANTABILITY AND CONSEQUENTIAL OR INDIRECT DAMAGES) OR WHETHER OR NOT OCCASIONED BY DENTON VACUUM'S NEGLIGENCE. THIS WARRANTY SHALL NOT BE EXTENDED, ALTERED OR VARIED EXCEPT BY A WRITTEN INSTRUMENT SIGNED BY DENTON VACUUM AND PURCHASER.
